BRIX Exchange is a framework in development by The PGR Group LLC for recording ownership of institutional real estate as digital securities, one property and one SPV at a time. Nothing is offered today. Join the waitlist to hear if and when access opens to verified accredited investors.
Three ideas shape how BRIX Exchange is being built. They describe design intent, not a product that is available today.
Each future offering would be tied to a single identified property held in its own special purpose vehicle. No blind pools and no synthetic exposure: you would know exactly which building your interest sits in.
Ownership would be represented as digital securities recording membership interests in the SPV. Token smart contracts would be designed to help enforce transfer restrictions. The operating agreement and applicable law would control.
The model favors capital stacks without mortgage debt. Preferred interests would rank ahead of common interests. Avoiding leverage does not protect against loss, and investors could lose all of their capital.
All-equity structures still carry real estate, market, and liquidity risk. Removing leverage does not remove loss.
If an offering is made in the future, participation would follow this order. None of these steps are open today.
Accredited status would be verified before any offering materials are shared, typically through a third-party verification provider, as Rule 506(c) requires.
Before any offeringVerified investors would receive the private placement memorandum, the SPV operating agreement, property diligence, and risk factors. Those documents, not this site, would govern.
During an offeringAccepted and funded subscriptions would be recorded as tokens representing membership interests in that property's SPV, held in a wallet tied to the verified investor.
At closingInterests would be restricted securities, and holders should expect to hold them indefinitely. Any transfer would require an available securities-law exemption and manager consent under the operating agreement. BRIX does not and would not operate a trading venue.
After a regulated offeringHow ownership would flow from sponsor to holder.
Sources, underwrites, and manages the property. Forms the SPV and prepares offering documents.
Holds title to one property. Its membership interests are the securities being recorded.
Verified accredited investors holding tokens that represent their membership interests.
Separate by propertyEach asset would be held in its own SPV, designed to separate one property's liabilities from another's. Separation is not absolute; all SPVs would share the same sponsor and manager.
Restricted securitiesTokens issued under Regulation D would be restricted securities subject to holding periods and transfer limits.
